CBV Institute’s Board of Directors comprises a minimum of 10 and a maximum of 15 Directors, up to three of whom may be lay directors. Six Board Directors are elected regionally (“Regional Directors”) and the others are elected at large (“At-Large Directors”) by all Members of CBV Institute. Board directors are generally elected to a three-year term and may serve a maximum of two consecutive three-year terms. Elections are overseen and managed by CBV Institute’s Governance and Nomination Committee.

To ensure regional representation on the Board, Members whose principal place of business is in a specified region may elect a Regional Director every three years. Regional Directors must be Members. The regions are:
- British Columbia and the Territory of Yukon
- Alberta, Saskatchewan, and Manitoba, and the Territories of Nunavut and Northwest Territories
- The City of Toronto
- Ontario, excluding the City of Toronto
- Quebec
- Newfoundland and Labrador, New Brunswick, Nova Scotia, and Prince Edward Island
Each year, the Governance and Nomination Committee considers whether to begin soliciting indications of interest from individuals interested in serving as At-Large Directors. At-Large Directors may be Members (CBVs) or lay directors (non-CBVs), appointed based on skills and experience aligned with the Board’s needs. The solicitation, assessment, and nomination of At-Large Directors is a rigorous process led by the Committee. At the Annual Meeting of Members, Members officially nominate new At-Large Directors to the Board. At-large Directors serve for a three-year term.
