A shareholders’ agreement is intended to help minimize or address dispute amongst shareholders at the outset of a business arrangement. Notwithstanding these well-meaning intentions, the shareholders’ agreement is often the backdrop for many business disputes. This presentation will explore issues that often arise in disputes stemming from the provisions set out in shareholders’ agreements. It will explore common provisions in shareholders’ agreements, particularly as they relate to valuation professionals. For example, what are the various definitions of value included in shareholders’ agreements and what are the implications of each? Hear from Counsel about the types of contractual provisions that work and those that can make sticky situations even more difficult to grapple with.
